Terms of Use
1. Definitions
When used in these Terms of Use, the following terms have the meanings set out below:
- "Agreement" means these Terms of Use together with the Privacy Policy, Data Processing Agreement (DPA), and any order forms or subscription agreements between the parties.
- "AI Models" means the artificial intelligence and machine learning models, including large language models, used to provide the Services.
- "Authorized User" means an employee, contractor, or other individual authorized by the Customer to access and use the Services on the Customer's behalf.
- "Confidential Information" means any non-public information disclosed by one party to the other, including business plans, strategies, financial data, technical information, and Customer Data.
- "Customer" means the entity that registers for and uses the Services in the course of its trade, business, craft, or profession.
- "Customer Data" means any data, content, information, or materials that the Customer uploads, inputs, or submits to the Services, including Input and any business information provided.
- "Input" means prompts, questions, data, documents, and other content submitted by the Customer to the AI-powered features of the Services.
- "Intellectual Property Rights" means all patents, trademarks, trade names, copyrights, trade secrets, know-how, database rights, and other intellectual or industrial property rights.
- "Output" means the AI-generated content, responses, documents, strategies, and other materials produced by the Services in response to Input.
- "Services" means the Suunta.ai platform, including all features, tools, AI capabilities, and related services made available by Y4 Works Oy.
- "Suunta.ai" or "we" or "us" means Y4 Works Oy (Business ID: 2978296-6), a Finnish company.
- "Third-Party AI Providers" means external providers of AI models and services that may be used in connection with the Services, including Anthropic, OpenAI, Google, and Mistral.
- "User" means the Customer's Authorized Users who access the Services.
2. General Information
2.1 Suunta.ai is a Software-as-a-Service platform provided by Y4 Works Oy, enabling companies to create strategic documentation and solve business challenges with the help of an AI assistant.
2.2 The platform's primary purpose is to help businesses with strategic direction and development while supporting ideation and everyday problem-solving through language models. The Services are provided for informational and planning purposes only and do not constitute professional business, legal, financial, or other advice.
2.3 By accessing or using the Services, the Customer agrees to be bound by these Terms of Use, our Privacy Policy, and our Data Processing Agreement (DPA). If the Customer does not agree to these terms, the Customer must not use the Services.
2.4 We may update these Terms of Use from time to time. We will notify registered users of material changes via email at least 30 days before they take effect. Continued use of the Services after such changes constitutes acceptance of the updated terms.
3. Users and Registration
3.1 The Suunta.ai service is specifically designed for startups and small to medium-sized enterprises (SMEs). The Services are offered solely for business-to-business use and are not intended for consumers acting outside their trade or profession. Users must be at least 18 years of age.
3.2 During registration, users are required to provide an email address, organization name, and payment information to set up their subscription.
3.3 User accounts are created by the users themselves, and they are responsible for the accuracy of their account information. The service provider can assist with account creation and management if needed.
3.4 The Customer is responsible for maintaining the confidentiality of account credentials and for all activities that occur under the Customer's account. The Customer must immediately notify Suunta.ai of any unauthorized use of the account.
3.5 By registering, the Customer represents and warrants that: (a) the Customer has the legal capacity to enter into this Agreement; (b) if acting on behalf of an organization, the Customer has authority to bind that organization; (c) the Customer will comply with all applicable laws and regulations; and (d) the Customer is entering into this Agreement in the course of its trade, business, craft, or profession.
4. License Grant and Restrictions
4.1 License Grant Subject to these Terms and payment of applicable fees, Suunta.ai grants the Customer a limited, non-exclusive, non-transferable, revocable license to access and use the Services for the Customer's internal business purposes during the subscription term.
4.2 Usage Restrictions
- (a) copy, modify, distribute, sell, lease, sublicense, or otherwise exploit the Services except as expressly permitted;
- (b) reverse engineer, decompile, disassemble, or attempt to derive source code, algorithms, or AI model weights from the Services;
- (c) use the Services to develop, train, or improve any competing AI models or services;
- (d) share account credentials or allow unauthorized access to the Customer's account;
- (e) use automated tools (bots, scrapers, crawlers) to access the Services without prior written permission;
- (f) upload, transmit, or distribute any malicious code, viruses, or harmful content;
- (g) use the Services to generate harmful, misleading, defamatory, or illegal content;
- (h) use the Services in any way that violates applicable laws, regulations, or third-party rights;
- (i) interfere with or disrupt the integrity or performance of the Services; or
- (j) circumvent any security measures or access controls.
5. AI-Specific Terms and Disclaimers
5.1 Nature of AI Output The Services use artificial intelligence and machine learning technologies, including large language models, to generate Output. The Customer acknowledges and agrees that: (a) AI technology is probabilistic in nature and Output may contain errors, inaccuracies, omissions, or hallucinations; (b) Output should not be relied upon without independent review, verification, and validation by qualified personnel; (c) Output may be similar or identical to output generated for other users who provide similar Input; and (d) the Customer is solely responsible for evaluating the accuracy, completeness, and suitability of any Output for the Customer's intended purposes.
5.2 No Professional Advice Output generated by the Services does not constitute professional business, legal, financial, tax, accounting, or other advice. Suunta.ai is not a professional advisory firm and does not provide professional advice. The Customer should consult qualified professionals before making significant business decisions based on Output.
5.3 Prohibited High-Risk Uses The Customer agrees not to use or rely on Output for high-risk or safety-critical purposes, including medical diagnosis or treatment, legal decisions affecting individual rights, financial decisions involving significant sums without professional review, automated decision-making with legal or similarly significant effects, or any context where AI errors could cause significant harm.
5.4 No Training on Customer Data Suunta.ai will not use Customer Data or Input to train, fine-tune, or improve generative AI models without the Customer's prior written consent. Suunta.ai configures Third-Party AI Providers to disable data retention and training where such controls are available and applies contractual restrictions through its Data Processing Agreement and subprocessor terms.
5.5 Responsible Use and AI Literacy The Customer is responsible for ensuring that its Authorized Users are appropriately trained to use AI-generated Output responsibly. Suunta.ai may provide in-product notices, documentation, and usage guidance intended to support responsible use, but such guidance does not replace the Customer's own policies, oversight, and professional judgment.
5.6 AI Model Changes Suunta.ai may update, change, or replace AI Models used in the Services to improve performance, comply with provider terms, or for other operational reasons. We will notify Customers of material changes to AI Models that may significantly affect the Services.
6. Use of the Service
6.1 Users agree to use the service in compliance with good practices and applicable laws, including checking and verifying all AI-generated content and responses before relying on or distributing them.
6.2 The service provider reserves the right to set reasonable limits on API calls and data processing based on usage levels, security, or stability needs.
6A. AI Fair Use Policy
6A.1 Normal usage is always allowed. Quotas are set so typical usage will not be restricted.
6A.2 Fair-use thresholds apply only to unusually heavy usage (for example, automated mass use, bots, or extreme data volumes).
6A.3 Suunta.ai may send alerts if usage approaches unusually high levels.
6A.4 If usage significantly exceeds fair-use thresholds, Suunta.ai may temporarily limit AI features or require approval for additional usage.
6A.5 Customer may purchase additional usage or upgrade to an Enterprise plan if needed.
7. Fees and Billing
7.1 The service is priced per user on a monthly or annual subscription basis. Usage-based pricing may apply if certain usage thresholds are exceeded. Any usage-based fees, thresholds, and measurement methods (including what constitutes "usage") will be specified in the applicable order form, pricing page, or in-product notice. If not specified, no usage-based fees apply.
7.2 Billing is primarily conducted via credit card through Stripe. Upon request, invoicing can also be arranged.
7.3 Service delivery may be terminated if payments are not made on time or if the subscription is canceled through Stripe. Standard payment terms and late payment interest policies apply.
7.4 All fees are exclusive of applicable taxes, including VAT. The Customer is responsible for paying all applicable taxes associated with the Services.
7.5 Suunta.ai reserves the right to update fees upon 45 days' written notice before the start of a new subscription period.
8. Intellectual Property
8.1 Customer Ownership As between the parties, the Customer retains all Intellectual Property Rights in Customer Data and Input. Subject to any third-party rights, the Customer owns the Output generated specifically for the Customer.
8.2 Suunta.ai Ownership Suunta.ai and its licensors own all rights, title, and interest in and to the Services, including all underlying software, technology, AI Models, algorithms, interfaces, documentation, and improvements. Nothing in this Agreement transfers ownership of the Services to the Customer.
8.3 License to Customer Data The Customer grants Suunta.ai a limited, non-exclusive license to use, process, and store Customer Data solely as necessary to provide the Services. This license terminates upon termination of the Agreement, except as necessary for Suunta.ai to comply with legal obligations.
8.4 Feedback If the Customer provides feedback, suggestions, or ideas regarding the Services, Suunta.ai may use such feedback without restriction or compensation. The Customer agrees that Suunta.ai owns all Intellectual Property Rights in any improvements or developments resulting from such feedback. Feedback is provided on a non-confidential basis and must not include Customer Data or personal data.
8.5 Non-Unique Output The Customer acknowledges that due to the nature of AI technology, Output may be similar or identical to output generated for other users. Output generated for other users is not considered Customer Data under this Agreement.
9. Confidentiality
9.1 Confidentiality Obligations. Each party agrees to: (a) keep the other party's Confidential Information confidential; (b) use Confidential Information only for purposes related to this Agreement; and (c) protect Confidential Information with at least the same degree of care used to protect its own confidential information, but no less than reasonable care.
9.2 Permitted Disclosures. A party may disclose Confidential Information: (a) to employees, contractors, and advisors who need to know and are bound by confidentiality obligations; (b) as required by law, regulation, or court order, provided the disclosing party gives reasonable notice to allow the other party to seek protective measures; or (c) with the prior written consent of the disclosing party.
9.3 Exclusions. Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party before disclosure; (c) is independently developed without use of Confidential Information; or (d) is rightfully obtained from a third party without confidentiality restrictions.
9.4 Survival. Confidentiality obligations survive termination of this Agreement for a period of five (5) years, or longer if required by applicable law.
10. Data Protection and Security
10.1 Data Collection. Collected user data includes information provided by users, such as name, email, phone number, organization, and business data submitted to the platform. Suunta.ai does not store AI prompts or responses; only usage metadata (such as tokens, latency, model, and cost) is logged for auditability and billing where applicable. Raw RAG document text is cleared after indexing.
10.2 Data Location and Transfers. The platform and its backups operate on servers located in the EU (AWS Stockholm, eu-north-1), while AI processing may occur in the United States or the European Union depending on the AI provider. Where Customer Data is transferred outside the EEA, Suunta.ai will ensure that such transfers are subject to appropriate safeguards under GDPR Chapter V, as set out in the Data Processing Agreement.
10.3 Data Subject Rights. Users have the right to access, correct, export, and delete their data in accordance with applicable data protection laws, including the EU General Data Protection Regulation (GDPR). These rights can be exercised through the Settings page or by contacting privacy@suunta.ai.
10.4 Data Processing Agreement. For business customers, Suunta.ai acts as a data processor on behalf of the Customer (as data controller) in accordance with the Data Processing Agreement. The Customer agrees to the terms of the Data Processing Agreement by using the Services.
10.5 Sensitive Data. The Customer agrees not to upload any special categories of personal data (as defined in GDPR Article 9) or sensitive personal information to the Services without Suunta.ai's prior written consent.
10.6 Security Measures. Suunta.ai maintains appropriate technical and organizational security measures to protect Customer Data, including encryption at rest and in transit, access controls, and audit logging. Details are set out in the Data Processing Agreement.
10.7 Subprocessors. Suunta.ai may engage subprocessors to support the Services. An up-to-date list of subprocessors is available at https://suunta.ai/legal/subprocessors. Suunta.ai will provide at least 30 days' advance notice of material changes. The Customer may object to a new subprocessor on reasonable data protection grounds.
10.8 Data Breach Notification. In the event of a security incident affecting Customer Data, Suunta.ai will notify the Customer without undue delay and in any event within 72 hours of becoming aware.
11. Service Availability and Support
11.1 The service aims to be continuously available to customers. Technical issues and outages will be addressed promptly. If service availability is restricted, users may be entitled to service credits for the affected period as specified in an applicable SLA or written service credit policy.
11.2 Support services are available for feedback, inquiries, and incident reporting at team@suunta.ai.
11.3 Scheduled Maintenance. Suunta.ai may perform scheduled maintenance with reasonable advance notice. Emergency maintenance may be performed without advance notice when necessary to protect the Services or Customer Data.
11.4 Service Discontinuation. If Suunta.ai discontinues the Services entirely, we will provide at least 12 months' advance notice and assist Customers with data export.
12. Warranties and Disclaimers
12.1 Suunta.ai Warranties. Suunta.ai warrants that: (a) the Services will perform materially in accordance with the documentation; and (b) it will provide the Services in a professional manner consistent with industry standards.
12.2 Disclaimer. Except as expressly set out in this Agreement, the Services are provided "as is" and "as available." Suunta.ai disclaims all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Suunta.ai does not warrant that the Services will be uninterrupted, error-free, or that AI Output will be accurate, complete, or suitable for any particular purpose.
13. Limitation of Liability
13.1 Users are responsible for using the service in accordance with good practices, copyright laws, and applicable regulations. Users must ensure the accuracy of the data they input and exercise caution regarding data protection.
13.2 Users are responsible for identifying, interpreting, and applying the AI-generated outputs. The service provider's liability for technical performance is limited to the amount paid for the service.
13.3 Any damages are limited to the amount the customer has paid for the service during the twelve (12) months preceding the event giving rise to the claim and do not include indirect damages under any circumstances. For clarity, the liability cap in this Section 13 applies in the aggregate to all claims arising out of or relating to the Agreement during the relevant period.
13.4 The service provider is not responsible for interruptions or errors caused by force majeure events, such as natural disasters, war, epidemics, pandemics, government actions, or other uncontrollable incidents.
13.5 Neither party shall be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if advised of the possibility of such damages.
13.6 Exclusions and Mandatory Liability. Nothing in this Agreement limits or excludes any liability that cannot be limited or excluded under applicable law. In addition, the limitations in this Section 13 do not apply to liability arising from a party's fraud, willful misconduct, or gross negligence, or to liability for death or personal injury caused by negligence.
14. Indemnification
14.1 Customer Indemnification The Customer agrees to indemnify, defend, and hold harmless Suunta.ai and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) the Customer's breach of this Agreement; (b) the Customer's violation of applicable laws; (c) Customer Data that infringes or misappropriates third-party rights; or (d) the Customer's use of Output in violation of this Agreement.
14.2 Suunta.ai Indemnification Suunta.ai agrees to indemnify and defend the Customer against third-party claims alleging that the Customer's authorized use of the Services infringes third-party Intellectual Property Rights, and will pay any damages finally awarded, provided Suunta.ai has sole control of the defense and settlement. This indemnity does not apply to claims arising from: (a) Customer Data, Input, or Output; (b) the Customer's or any third party's modifications to the Services; (c) combination or use of the Services with products, services, or data not provided by Suunta.ai; (d) use of the Services outside the scope of the Agreement or documentation; or (e) the Customer's breach of applicable law or third-party rights.
14.3 Indemnification Procedures The indemnified party must: (a) promptly notify the indemnifying party of the claim; (b) give the indemnifying party sole control of the defense and settlement; and (c) provide reasonable cooperation at the indemnifying party's expense.
15. Termination of Agreement
15.1 Termination for Cause The agreement may be terminated if the user materially breaches the terms of service or fails to make payments. Termination will be communicated via email. Suunta.ai will provide 30 days' notice to cure material breaches before termination, except in cases of repeated or willful breach.
15.2 Termination by Customer Users may terminate the agreement at any time, but no refunds will be provided for already paid fees, except where required by applicable law or expressly agreed in an applicable order form.
15.3 Termination by Suunta.ai The service provider reserves the right to terminate the agreement at any time by giving the user 30 days' notice.
15.4 Effects of Termination Upon termination: (a) the Customer's right to access and use the Services terminates immediately; (b) all outstanding fees become due and payable; and (c) each party shall return or destroy the other party's Confidential Information upon request.
15.5 Data Export and Deletion Upon the Customer's request made within 30 days of termination, Suunta.ai will provide the Customer with an export of Customer Data in a standard machine-readable format (JSON, CSV). After this period, Suunta.ai may delete Customer Data in accordance with its data retention policies.
15.6 Suspension Suunta.ai may suspend access to the Services (in whole or in part) immediately upon notice where reasonably necessary to: (a) protect the security or integrity of the Services; (b) prevent or address misuse, unlawful activity, or violation of Section 4.2; (c) comply with applicable law or binding orders of authorities; or (d) address material non-payment. Where feasible, Suunta.ai will provide the Customer with an opportunity to cure the issue before suspension.
16. Governing Law and Dispute Resolution
16.1 This Agreement shall be governed by the laws of Finland, without regard to its conflict of law principles.
16.2 Any dispute, controversy, or claim arising out of or relating to this Agreement shall first be attempted to be resolved through good-faith negotiations between the parties.
16.3 If the dispute cannot be resolved through negotiations within 30 days, the dispute shall be finally settled by arbitration administered by the Finland Chamber of Commerce Arbitration Institute in accordance with its rules. The seat of arbitration shall be Helsinki, Finland. The language of the arbitration shall be English, unless both parties agree to Finnish.
16.4 Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its Intellectual Property Rights or Confidential Information.
17. Other Terms
17.1 Global Use The service can be used globally, but users must comply with local laws and regulations, including export control and sanctions laws.
17.2 Accessibility Suunta.ai is committed to making the Services accessible and is working toward WCAG 2.1 Level AA compliance.
17.3 Acceptance By registering and using the service, users agree to these terms of service.
17.4 Entire Agreement This Agreement, together with the Privacy Policy and Data Processing Agreement, constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, and communications. In the event of a conflict between these Terms and the Data Processing Agreement regarding data protection or processing of personal data, the Data Processing Agreement will prevail.
17.5 Severability If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
17.6 Waiver No failure or delay in exercising any right under this Agreement shall constitute a waiver of that right.
17.7 Assignment The Customer may not assign this Agreement without Suunta.ai's prior written consent. Suunta.ai may assign this Agreement to an affiliate or in connection with a merger, acquisition, or sale of assets.
17.8 Marketing Suunta.ai may use the Customer's name and logo to identify the Customer as a user of the Services in marketing materials. Customer may withdraw this right at any time by informing the Suunta.ai team in writing.
17.9 Notices All notices under this Agreement shall be in writing and sent to the email address associated with the Customer's account or to team@suunta.ai for notices to Suunta.ai.
17.10 Survival Sections relating to Intellectual Property, Confidentiality, Limitation of Liability, Indemnification, Governing Law, and any other provisions that by their nature should survive termination shall survive the termination or expiration of this Agreement.
